Scope and contracting entity

These General Terms and Conditions of Sale apply, depending on the entity identified on the quotation, order confirmation, delivery note or invoice, to sales and services supplied by:

• ALPHATEAM SRL, a company incorporated under Belgian law, with its registered office at Rue des Technologies 10, 4530 Villers-le-Bouillet, Belgium, registered with the Crossroads Bank for Enterprises under number BE0466.633.148; and
• ALPHATEAM SARL, a company incorporated under Luxembourg law, with its registered office at 19 Zone Industrielle in den Allern, 9911 Troisvierges, Luxembourg, VAT number LU35016842.

In these General Terms and Conditions, these companies are referred to individually or collectively as “ALPHATEAM”. The contracting entity is exclusively the entity identified on the relevant quotation, order confirmation or invoice.

Introduction

By using ALPHATEAM as a website, software application or any other associated service (collectively, the “Service”), the user acknowledges having read, understood and accepted these General Terms and Conditions as well as our Privacy Policy.

If you do not accept one or more provisions of these General Terms and Conditions, you must immediately cease all use of our services.

In order to use the Service, you must:

• Be at least 18 years old;
• Accept these General Terms and Conditions;
• Be a resident of the country from which you enter into the contract.

The user warrants that all information provided to ALPHATEAM is accurate, complete and up to date and undertakes to keep it so throughout the contractual relationship.

Changes to agreements

ALPHATEAM reserves the right to amend these General Terms and Conditions, its Privacy Policy or any other legal document relating to its services at any time.

Any material change will be communicated to users by any appropriate means.

Continued use of the Service after such changes take effect constitutes express acceptance of the new provisions.

Licences

The Service and all content made available by ALPHATEAM remain the exclusive property of ALPHATEAM or its licensors.

The user is granted a limited, revocable, non-exclusive and non-transferable licence to use the Service in accordance with these General Terms and Conditions.

No intellectual property rights are transferred to the user.

Third-party services

ALPHATEAM may use applications, platforms, software or services operated by third parties.

Use of these third-party services is subject to the respective providers' own terms and conditions.

ALPHATEAM cannot be held liable for the content, operation or availability of such third-party services.

User content

Users may publish, transmit or otherwise make various forms of content available through the Service.

The user warrants that they hold all rights required to use and publish such content.

By publishing content, the user grants ALPHATEAM a worldwide, non-exclusive, transferable, sublicensable and royalty-free licence to use, reproduce, distribute and exploit that content in connection with the operation of the Service.

ALPHATEAM reserves the right to remove any content that breaches these General Terms and Conditions or applicable law.

Rules of use

The user undertakes to use the Service in accordance with applicable laws and these General Terms and Conditions.

Any fraudulent, abusive or unlawful use, any use contrary to public policy, any infringement of third-party rights, or any use likely to impair the operation of the Service is strictly prohibited.

The user remains solely responsible for their use of the products and services offered by ALPHATEAM.

Delivery

Delivery times communicated by ALPHATEAM are provided for information purposes only and do not constitute a firm contractual commitment unless otherwise agreed in writing.

As the products sold by ALPHATEAM are supplied in whole or in part by third-party manufacturers, suppliers or partners, delivery times depend in particular on their production capacity, stock availability, transport conditions and any other factor beyond ALPHATEAM's control.

Consequently, ALPHATEAM cannot guarantee the stated delivery times and cannot be held liable for any delay in delivery.

Any clause providing for late-delivery penalties or compensation is expressly rejected unless accepted in writing in advance by ALPHATEAM.

Force majeure

ALPHATEAM cannot be held liable for any failure or delay in the performance of its obligations resulting from force majeure or any event reasonably beyond its control, including in particular: natural disasters, fires, strikes, shortages of raw materials, supplier failure, logistical or transport disruptions, cyberattacks, pandemics, armed conflicts, government decisions or import or export restrictions.

Retention of title

The goods remain the exclusive property of ALPHATEAM until all amounts due have been paid in full.

Risk passes to the customer upon the goods being made available, dispatched or delivered.

In the event of non-payment, ALPHATEAM reserves the right to repossess the goods concerned.

Payment and late-payment interest

Unless otherwise agreed in writing, all invoices are payable on their due date.

Any unpaid invoice will automatically bear late-payment interest in accordance with the legislation applicable to the contracting entity governing late payment in commercial transactions.

A fixed compensation equal to 10% of the outstanding amount, with a minimum of EUR 50, will also become payable.

ALPHATEAM reserves the right to suspend any order or service until all outstanding amounts have been paid in full.

No set-off

The customer may not suspend, reduce or set off amounts due to ALPHATEAM against any claim it alleges to have against ALPHATEAM, unless ALPHATEAM has given prior written consent or a final court decision so provides.

Payments

ALPHATEAM accepts, among other valid payment methods, bank cards, bank transfers and PayPal.

Validity of quotations

Unless otherwise stated, quotations and offers issued by ALPHATEAM are valid for fourteen (14) calendar days from their date of issue.

Pricing or availability errors

ALPHATEAM reserves the right to cancel any order resulting from an obvious error in price, description, availability or any other material error affecting the offer.

Order cancellation

Any order accepted by ALPHATEAM is firm and final. Any cancellation requested by the customer is subject to ALPHATEAM's prior written approval and may result in invoicing of costs already incurred.

Limitation of liability

To the fullest extent permitted by applicable law, ALPHATEAM's total liability is limited to the amount excluding VAT actually paid by the customer for the order concerned.

ALPHATEAM cannot be held liable for indirect damage, loss of profit, business interruption, loss of data or loss of business opportunities.

Service limitations and changes

ALPHATEAM reserves the right to change, suspend or discontinue all or part of the Service at any time.

Termination and cancellation

These General Terms and Conditions remain applicable until terminated by either party.

ALPHATEAM may immediately suspend or terminate access to the Service in the event of a breach of these General Terms and Conditions.

Returns and refunds policy

The customer must inspect the goods upon receipt.

Apparent defects must be reported in writing within a maximum of fourteen (14) days after receipt.

Hidden defects must be reported within fourteen (14) days of their discovery.

Transport-related claims

Any reservation concerning transport damage, loss, a missing parcel or deterioration of the goods must be made to the carrier upon delivery and confirmed in writing to ALPHATEAM within forty-eight (48) hours following receipt.

Special products and non-returnable orders

Custom-made products, products configured at the customer's request, products specially ordered from a manufacturer, or products that are not part of standard stock cannot be returned or refunded, except in the case of a proven defect covered by the applicable statutory warranty.

Warranty and disclaimer

The Service is provided “as is” and “as available”.

ALPHATEAM does not warrant that the Service will be free from interruptions, errors, viruses or other harmful components.

Limitation of remedies

The user's sole remedy in the event of dissatisfaction with the Service is to discontinue its use.

Severability

If any provision of these General Terms and Conditions is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

ALPHATEAM may freely assign its rights and obligations.

The user may not assign their rights or obligations without ALPHATEAM's prior written consent.

Indemnification

The user undertakes to indemnify ALPHATEAM against any damage, loss, liability, cost or expense resulting from their use of the Service or breach of these General Terms and Conditions.

Entire agreement

These General Terms and Conditions constitute the entire agreement between the parties and supersede any prior agreement, negotiation, exchange or communication relating to the same subject matter.

Governing law and jurisdiction

These General Terms and Conditions are governed by Belgian law.

Any dispute relating to their interpretation, performance or validity falls within the exclusive jurisdiction of the courts of the judicial district of Liège, Belgium.
